Terms of Service

1. The agreement
These terms are a contract between Sally Technologies Private Limited (“Sally”, “we”, “us”) and the business on whose behalf you use Sally ERP (“you”). They cover the web application at sallyerp.in, the Sally ERP apps for iPhone and Android, our APIs, and any related support (together, the “Service”). By creating an account or using the Service you accept these terms and our Privacy Policy.
Sally ERP is a business tool. You must be at least 18 years old and have authority to bind the business you register. If you accept on behalf of a company, “you” means that company.
2. Accounts and security
- Keep your password, two-factor codes and API tokens confidential. Everything done under your login is treated as done by you.
- The account owner controls who joins the company workspace and what role they hold. You are responsible for the people you invite and for removing them when they leave.
- Sign in with Apple or Google, biometric unlock on the mobile app, and two-factor authentication are provided for convenience; they do not change who is responsible for the account.
- Tell us at support@sallyerp.in immediately if you suspect unauthorised access.
3. The Service
We provide accounting, invoicing, inventory, banking, GST-return and related features as described on our website. Features differ between plans and between the web app and the mobile apps. We improve the Service continually and may add, change or retire features; where a change materially reduces what you paid for we will tell you in advance and, if you prefer, refund the unused part of the current period.
4. Trials, plans and payment
- New accounts receive a free trial of the Pro plan for the period shown at sign-up. When it ends the account moves to the Free plan unless a paid plan is chosen.
- Paid plans are bought on the web by the company's account owner and billed in Indian rupees, monthly or yearly in advance, through our payment provider Razorpay. Applicable GST is added to the listed price. Current prices are on the pricing page.
- Subscriptions renew automatically at the end of each period until cancelled. You can cancel at any time from Settings → Billing (web or mobile); access to Pro features continues until the end of the period already paid for.
- Fees for a period already started are not refunded, except where clause 3 applies or a refund is required by law.
- We may change prices with at least 30 days' notice by email; the new price applies from your next renewal.
- The iPhone and Android apps do not sell subscriptions or accept payments. Apple and Google are not party to this agreement and are not responsible for the Service.
5. Your data
- Everything you enter or upload — invoices, ledgers, parties, attachments, bank statements — remains yours. You grant us only the rights needed to host, process, back up and display it in order to provide the Service.
- We process personal data as described in the Privacy Policy, in line with the Digital Personal Data Protection Act, 2023. Where you enter personal data about your customers, suppliers or employees, you are the data fiduciary for that data and responsible for having a lawful basis to use it.
- You can export your data at any time from Settings → Export Data and request deletion of your account at sallyerp.in/delete-account. Some financial records must be retained under Indian tax law; the Privacy Policy lists what and for how long.
6. Statutory filings and professional advice
Sally ERP helps you prepare invoices, e-invoices, e-way bills, GST returns and reports. It is software, not a chartered accountant or tax adviser. You remain responsible for the accuracy and completeness of the figures you enter, for reviewing anything before it is filed or issued, and for meeting every filing deadline. Government and GSP systems (the NIC e-invoice and e-way bill portals, GST Network, our GST Suvidha Provider) are operated by third parties; we are not responsible for their availability, changes to their rules, or their acceptance or rejection of a document.
7. Acceptable use
You agree not to:
- use the Service for anything unlawful, including issuing false invoices or evading tax;
- upload malware, or content that infringes someone else's rights;
- reverse-engineer, scrape, or bulk-extract the Service or its data beyond the export features we provide;
- resell, sublicense or share your account or workspace with people outside your business;
- probe or overload our systems, bypass rate limits, or test security without written permission (see the responsible-disclosure note on our support page).
8. Intellectual property
The Service, its software, design, trademarks and documentation belong to Sally or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service for your business while your account is in good standing. Suggestions you send us may be used without obligation. “Powered by Sally ERP” branding on documents produced on the Free plan may not be removed.
9. Third-party services
Parts of the Service rely on third parties — hosting on AWS (Mumbai), payments through Razorpay, sign-in through Apple and Google, GST connectivity through our GSP and the NIC portals, and distribution of the mobile apps through the App Store and Google Play. Their terms apply to your use of their services. Apple and Google have no obligation to provide maintenance or support for the Sally ERP apps; contact us instead.
10. Availability and support
We aim to keep the Service available around the clock and schedule maintenance outside Indian business hours where we can, but we do not guarantee uninterrupted access. Support is available by email at support@sallyerp.in; response times are published on the support page.
11. Suspension and termination
- You may stop using the Service at any time and delete your account as described in clause 5.
- We may suspend or terminate access if you breach these terms, if a payment fails and is not resolved within 14 days of notice, or if we are required to by law. Where practical we will warn you first and give you a chance to export your data.
- Clauses 5, 6, 8, 12, 13 and 14 survive termination.
12. Disclaimers and limitation of liability
The Service is provided “as is”. To the extent permitted by Indian law we exclude all implied warranties, and our total liability to you for all claims arising out of the Service in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, lost profits, penalties or interest levied by a tax authority, or loss of data that you could have prevented by using the export features. Nothing in these terms limits liability that cannot be limited under Indian law.
13. Indemnity
You will indemnify Sally against third-party claims, penalties and reasonable costs arising from your breach of these terms, your unlawful use of the Service, or the content and figures you submit through it.
14. Governing law and disputes
These terms are governed by the laws of India. Please raise any dispute with us first at support@sallyerp.in; we will try to resolve it within 30 days. Disputes that cannot be resolved are subject to the exclusive jurisdiction of the courts at the registered office of Sally Technologies Private Limited.
15. Changes to these terms
We may update these terms. Material changes will be announced by email and in-app notice at least 30 days before they take effect; continuing to use the Service after that date means you accept them.
